Acceptance of Terms
By accessing our website at www.swarnasquare.com, registering for early access, requesting a demo, or subscribing to and using SwarnaSquare's jewellery ERP platform and related services (collectively, the "Services"), you ("Customer", "you", or "your") agree to be legally bound by these Terms and Conditions ("Terms").
If you are accessing or using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include that entity.
If you do not agree to these Terms, you must not access or use our Services.
Description of Services
SwarnaSquare Technologies Private Limited ("SwarnaSquare", "we", "our", or "us") provides a cloud-based, purpose-built Enterprise Resource Planning (ERP) platform designed for the jewellery industry. Our Services include but are not limited to:
Point of Sale (POS) and billing management
Inventory tracking and management
Purchase and procurement management
Karigar and manufacturing workflow management
Bullion management and rate integration
GST and compliance management
Customer catalogue and scheme management
Advanced analytics and reporting
Multi-branch management and visibility
WhatsApp, SMS, and hardware integrations
Dynamic website and catalogue tools
Cloud storage and data backup
Customer support and onboarding assistance
The scope of Services available to you depends on the subscription plan you have selected. SwarnaSquare reserves the right to modify, update, or discontinue specific features or modules with reasonable notice.
Account Registration and Access
3.1 To use our Services, you must register for an account by providing accurate, current, and complete information including your business name, authorised contact details, and GST registration number where applicable.
3.2 You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
3.3 You agree to notify us immediately at [support@swarnasquare.com] upon becoming aware of any unauthorized access to or use of your account.
3.4 SwarnaSquare reserves the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in activity that poses a risk to the platform or other users.
Subscription, Pricing, and Payment
4.1 Access to SwarnaSquare's Services is provided on a subscription basis. Subscription plans, pricing, and billing cycles will be communicated to you prior to any payment being made.
4.2 All prices are quoted in Indian Rupees (INR) and are exclusive of applicable taxes including GST, unless otherwise stated.
4.3 Subscription fees are payable in advance for the agreed billing cycle. Failure to make timely payment may result in suspension of access to the Services.
4.4 SwarnaSquare reserves the right to revise pricing for subscription plans. Any changes to pricing will be communicated to existing subscribers with a minimum of 30 days' notice prior to the next billing cycle.
4.5 Refund and Cancellation Policy
Since SwarnaSquare provides digital software services involving immediate access to a licensed cloud platform, the following refund policy applies:
All payments made are strictly non-refundable once account access or login credentials have been issued, onboarding has commenced, or any subscription period has been activated.
Prior to any payment, customers will be provided with a complete live demonstration, a detailed explanation of features and modules, and clear communication of pricing and plan structure. By proceeding with payment, the customer confirms full understanding of the product and agreement with the terms.
Customisation, API integration, and development work undertaken at the customer's request requires advance payment and is non-refundable upon commencement of work.
Cancellation of a subscription may be requested at any time. Access will continue until the end of the current paid billing period. No pro-rata refunds will be issued for the unused portion of a billing period.
Data Ownership and Privacy
5.1 You retain full ownership of all business data inventory records, transaction data, customer information, financial records, and all other data that you enter into the SwarnaSquare platform.
5.2 SwarnaSquare does not claim any ownership over your business data and will not use it for any purpose other than providing and improving the Services.
5.3 We process your data in accordance with our Privacy Policy, which forms an integral part of these Terms and is incorporated herein by reference.
5.4 You are responsible for ensuring that all data you enter into the platform has been collected lawfully, that appropriate consents have been obtained from your own customers where required under applicable law, and that your use of the platform complies with all data protection obligations applicable to your business.
5.5 Upon termination of your subscription, you may request an export of your data within 30 days. After this period, SwarnaSquare reserves the right to permanently delete your data from its servers.
External Links
6.1 All intellectual property rights in the SwarnaSquare platform including but not limited to software code, algorithms, user interface design, logos, trademarks, and all associated content are owned by or licensed to Swarna Square Technologies Private Limited.
6.2 You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your internal business operations during the term of your active subscription.
6.3 You may not copy, modify, distribute, sell, sublicense, reverse engineer, decompile, or disassemble any part of the SwarnaSquare platform without our prior written consent.
6.4 Any feedback, suggestions, or ideas you provide to us regarding the Services may be used by Swarna Square without obligation or compensation to you.
Your Privacy Rights
You agree to use the Services only for lawful business purposes and in accordance with these Terms. You must not:
Use the Services for any illegal, fraudulent, or unauthorised purpose
Enter false, misleading, or inaccurate data into the platform
Attempt to gain unauthorised access to our systems, other users' accounts, or any part of our infrastructure
Transmit viruses, malware, ransomware, or any harmful or disruptive code
Interfere with or disrupt the performance, security, or integrity of the Services
Resell, sublicense, or distribute the Services to any third party without our prior written consent
Use the Services to store or transmit content that infringes the intellectual property rights of any third party
Violate any applicable Indian law or regulation in connection with your use of the Services
Service Availability and Uptime
8.1 SwarnaSquare will use commercially reasonable efforts to ensure that the Services are available and accessible on a continuous basis.
8.2 We may perform scheduled maintenance, updates, or upgrades to the platform from time to time. Where possible, we will provide advance notice of planned downtime.
8.3 SwarnaSquare does not guarantee uninterrupted, error-free, or completely secure access to the Services. We are not liable for any temporary unavailability arising from technical issues, scheduled maintenance, third-party infrastructure failures, internet disruptions, or circumstances beyond our reasonable control.
Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or non-public information shared in the course of the business relationship. This includes but is not limited to product roadmaps, pricing structures, technical architecture, and business data. This obligation of confidentiality shall survive the termination of these Terms.
Limitation of Liability
10.1 To the maximum extent permitted by applicable Indian law, Swarna Square shall not be liable for any indirect, incidental, consequential, special, or punitive damages including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill arising from your use of or inability to use the Services.
10.2 In no event shall SwarnaSquare's total cumulative liability to you for any claims arising under or related to these Terms exceed the total subscription fees paid by you to SwarnaSquare in the twelve (12) months immediately preceding the event giving rise to the claim.
10.3 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable Indian law.
Indemnification
You agree to indemnify, defend, and hold harmless SwarnaSquare Technologies Private Limited, its founders, directors, employees, agents, and licensors from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Services, your violation of these Terms, your violation of any applicable law, or your infringement of any third-party rights.
Termination
12.1 You may cancel your subscription at any time by notifying us in writing at [support@swarnasquare.com]. Cancellation will take effect at the end of the current billing period.
12.2 SwarnaSquare may suspend or terminate your access to the Services immediately and without prior notice if you breach these Terms, engage in prohibited conduct, fail to make payment, or in the event that continuing to provide the Services poses a legal, regulatory, or security risk.
12.3 Upon termination for any reason, your licence to use the Services will immediately cease. You may request a data export within 30 days of termination. After this period, your data will be permanently deleted.
Governing Law and Dispute Resolution
13.1 These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.
13.2 Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation between the parties.
13.3 If the dispute cannot be resolved through negotiation within 30 days, it shall be subject to the exclusive jurisdiction of the competent courts in Bengaluru, Karnataka, India.
Amendments to These Terms
SwarnaSquare reserves the right to modify these Terms at any time. We will notify you of material changes by updating the "Last Updated" date at the top of this document and, where appropriate, by sending a notification to your registered email address. Your continued use of the Services following notification of changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must discontinue use of the Services.
Severability
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall continue in full force and effect.
Entire Agreement
These Terms, together with our Privacy Policy and any additional agreements or order forms entered into between you and Swarna Square, constitute the entire agreement between the parties with respect to the subject matter herein and supersede all prior discussions, representations, and agreements.
